Terms of Service

These Terms of Service ("Terms") govern your use of Cofounded ("Service"), provided by CARBON LLC, an Arizona limited liability company ("we", "us", "our"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Service description
Cofounded is an AI-native business operating system. It provides multi-agent dashboards over a user's connected business data sources (e.g. QuickBooks, Shopify, Google, Slack), reasons over that data using large language models, and surfaces decisions, alerts, and summaries through agent-driven interfaces. The Service is currently a single-tenant tool used by its founder; it is not yet generally available to the public.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service. By using the Service you represent that you meet these criteria.
3. Your account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@navaretworldwide.com if you suspect unauthorized access.
4. User obligations
By using the Service, you agree NOT to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Service except to the extent permitted by applicable law.
- Use the Service to violate any law, regulation, or third-party right.
- Use the Service to send spam, distribute malware, or engage in any abusive or harmful behavior.
- Interfere with or disrupt the Service or its underlying infrastructure.
- Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any third-party systems.
- Use automated tools (bots, scrapers) to access the Service in a manner that imposes an unreasonable load.
- Misrepresent your identity or affiliation when connecting third-party accounts.
- Use the Service for any purpose for which it was not designed.
5. Connected services
Cofounded integrates with third-party services (QuickBooks, Shopify, Google, Slack, etc.) via OAuth. Your use of those services is governed by each service's own terms. We are not responsible for the availability, reliability, or correctness of third-party services. If a connected service changes its API or terms in a way that affects Cofounded's functionality, we will work in good faith to adapt but cannot guarantee uninterrupted service.
6. Intellectual property
The Service, including its software, design, content, and trademarks, is owned by CARBON LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted.
You retain all ownership of data you connect through the Service (your QuickBooks data remains yours, your Shopify data remains yours, etc.). You grant us a limited license to process that data solely as needed to operate the Service for you.
7. AI-generated content
The Service uses large language models (currently Anthropic's Claude) to generate text, summaries, and recommendations. AI output is probabilistic and may contain errors, omissions, or hallucinations. You are responsible for reviewing AI-generated content before acting on it, especially for financial, legal, medical, or other consequential decisions. We make no warranty that AI output is accurate, complete, or fit for any particular purpose.
8. Approval gate
Cofounded includes an in-band approval system for sensitive actions (e.g. modifying data in a connected service, sending external communications). Sensitive actions require explicit user approval before execution. You are responsible for reviewing approval requests before approving them; an approval indicates your authorization for the action to proceed.
9. Service availability
The Service is provided "as is" and "as available". We do not guarantee uptime, error-free operation, or freedom from interruption. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.
10. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CARBON LLC, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. Our total cumulative liability for any claim arising out of these Terms or your use of the Service will not exceed one hundred dollars ($100) USD.
12. Indemnification
You agree to indemnify and hold harmless CARBON LLC, its officers, directors, employees, and agents from any claim, damage, loss, liability, cost, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, or (c) any data you provide to the Service that violates a third-party right.
13. Termination
You may stop using the Service at any time and request account deletion via /disconnect or by emailing support@navaretworldwide.com.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including (without limitation) for violation of these Terms, abuse of the Service, or risk to other users or third parties.
Upon termination, all rights granted to you under these Terms immediately cease. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, indemnification, governing law) will continue in effect.
14. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will update the "Last updated" date and notify active users via email. Continued use of the Service after a change constitutes acceptance of the updated Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict of laws principles. Any dispute arising out of these Terms or your use of the Service will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
17. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CARBON LLC regarding the Service.
